Enquiries, Quotations and Contracts<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Submitting an enquiry through the Site, email, telephone, WhatsApp or another communication channel does not create a contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A contract is formed only when the relevant commercial terms are confirmed and accepted in writing, such as through:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>an accepted quotation;<\/li>\n\n\n\n<li>an accepted proforma invoice;<\/li>\n\n\n\n<li>a signed sales contract;<\/li>\n\n\n\n<li>a confirmed purchase order;<\/li>\n\n\n\n<li>another written agreement accepted by both parties.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Unless expressly stated otherwise, quotations may be subject to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>technical review;<\/li>\n\n\n\n<li>drawing approval;<\/li>\n\n\n\n<li>material availability;<\/li>\n\n\n\n<li>minimum order quantities;<\/li>\n\n\n\n<li>production capacity;<\/li>\n\n\n\n<li>shipping costs;<\/li>\n\n\n\n<li>exchange-rate changes;<\/li>\n\n\n\n<li>taxes, duties and customs charges;<\/li>\n\n\n\n<li>a stated validity period.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You agree that information provided in an enquiry or order is accurate and complete. You must notify us promptly if project information, quantities, specifications, contact details or delivery requirements change.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Technical Review and Project Responsibility<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Facade systems, curtain walls, doors, windows, cladding products and modular buildings must be selected and engineered for the specific project.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for ensuring that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the selected products are suitable for the intended application;<\/li>\n\n\n\n<li>all project information provided to us is complete and accurate;<\/li>\n\n\n\n<li>local architects, engineers and authorities review the proposed system where required;<\/li>\n\n\n\n<li>the final design complies with applicable laws, regulations and building codes;<\/li>\n\n\n\n<li>installation is performed by appropriately qualified personnel;<\/li>\n\n\n\n<li>foundations, supporting structures and site conditions are suitable;<\/li>\n\n\n\n<li>required inspections, approvals and permits are obtained.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Any design support, preliminary recommendation or technical information we provide must be reviewed against the project\u2019s final conditions and approved by the responsible project professionals.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Acceptable Use<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You agree not to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>use the Site for an unlawful or fraudulent purpose;<\/li>\n\n\n\n<li>violate applicable export controls, sanctions or trade regulations;<\/li>\n\n\n\n<li>submit false, misleading or unauthorised information;<\/li>\n\n\n\n<li>impersonate another person or organisation;<\/li>\n\n\n\n<li>claim to be an authorised APEX EcoBuilt agent or distributor without written authorisation;<\/li>\n\n\n\n<li>attempt to gain unauthorised access to the Site, server or connected systems;<\/li>\n\n\n\n<li>upload malware, harmful code or disruptive content;<\/li>\n\n\n\n<li>interfere with the operation, availability or security of the Site;<\/li>\n\n\n\n<li>use automated tools to scrape, copy or systematically extract Site content without permission;<\/li>\n\n\n\n<li>use Site content to develop, promote or sell competing products;<\/li>\n\n\n\n<li>remove copyright, trademark or ownership notices;<\/li>\n\n\n\n<li>use the Site in a way that infringes another person\u2019s rights.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We may restrict or block access where we reasonably believe the Site is being misused.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Intellectual Property<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise stated, all content published on the Site is owned by or licensed to APEX EcoBuilt.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This includes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>written content;<\/li>\n\n\n\n<li>product and system names;<\/li>\n\n\n\n<li>logos and trademarks;<\/li>\n\n\n\n<li>photographs;<\/li>\n\n\n\n<li>videos;<\/li>\n\n\n\n<li>renderings;<\/li>\n\n\n\n<li>technical drawings;<\/li>\n\n\n\n<li>diagrams;<\/li>\n\n\n\n<li>catalogues;<\/li>\n\n\n\n<li>BIM objects;<\/li>\n\n\n\n<li>CAD files;<\/li>\n\n\n\n<li>specifications;<\/li>\n\n\n\n<li>page designs;<\/li>\n\n\n\n<li>databases;<\/li>\n\n\n\n<li>downloadable documents.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The content is protected by copyright, trademark and other applicable intellectual property laws.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You may view, download and print reasonable portions of Site content solely for internal evaluation, procurement, design coordination or specification of APEX EcoBuilt products.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You may not reproduce, republish, distribute, sell, sublicense, modify or use Site content in public marketing materials without our prior written permission.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. BIM, CAD and Technical Files<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Where BIM objects, CAD files, drawings or technical documents are available for download, we grant you a limited, non-exclusive, revocable and non-transferable licence to use them for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>project evaluation;<\/li>\n\n\n\n<li>design development;<\/li>\n\n\n\n<li>specification;<\/li>\n\n\n\n<li>coordination involving APEX EcoBuilt products.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">These materials remain the property of APEX EcoBuilt or the relevant licensor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You must not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>remove ownership notices;<\/li>\n\n\n\n<li>represent preliminary information as a final engineered design;<\/li>\n\n\n\n<li>resell or redistribute the files;<\/li>\n\n\n\n<li>use them to reproduce or develop competing products;<\/li>\n\n\n\n<li>rely on them without confirming current dimensions, specifications and revision status.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for checking that the most recent approved version is used for the project.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Materials You Submit<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may submit drawings, specifications, schedules, photographs, BIM files, project information or other materials to help us review your enquiry.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You confirm that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>you own the materials or have permission to share them;<\/li>\n\n\n\n<li>the materials do not infringe third-party rights;<\/li>\n\n\n\n<li>disclosure does not breach a confidentiality obligation;<\/li>\n\n\n\n<li>the materials do not contain unlawful or malicious content.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You grant APEX EcoBuilt a non-exclusive, royalty-free licence to use, reproduce and internally share submitted materials only as reasonably necessary to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>respond to your enquiry;<\/li>\n\n\n\n<li>prepare a quotation;<\/li>\n\n\n\n<li>conduct technical review;<\/li>\n\n\n\n<li>manufacture or supply products;<\/li>\n\n\n\n<li>perform a resulting contract;<\/li>\n\n\n\n<li>provide after-sales support;<\/li>\n\n\n\n<li>comply with legal obligations.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We will not publish confidential project materials, customer names, testimonials or reference photographs for marketing purposes without appropriate consent or another lawful basis.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the fullest extent permitted by applicable law, APEX EcoBuilt and its officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, punitive or consequential losses arising from your use of the Site.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This includes loss of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>profit;<\/li>\n\n\n\n<li>revenue;<\/li>\n\n\n\n<li>business opportunities;<\/li>\n\n\n\n<li>anticipated savings;<\/li>\n\n\n\n<li>data;<\/li>\n\n\n\n<li>goodwill;<\/li>\n\n\n\n<li>production time;<\/li>\n\n\n\n<li>design or engineering costs.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We are not responsible for losses caused by reliance on general Site content instead of final project-specific technical review, approved drawings or written contractual documents.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where liability cannot be excluded, our liability will be limited to direct losses that were reasonably foreseeable and directly caused by our breach.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms excludes or limits liability for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>fraud or fraudulent misrepresentation;<\/li>\n\n\n\n<li>death or personal injury caused by negligence;<\/li>\n\n\n\n<li>deliberate misconduct;<\/li>\n\n\n\n<li>any liability that cannot legally be excluded or limited.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">12. Governing Law and Dispute Resolution<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are governed by the laws of the People\u2019s Republic of China, without regard to conflict-of-law principles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The parties should first attempt to resolve any dispute arising from these Terms through good-faith discussion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a dispute cannot be resolved through discussion, it shall be submitted to the competent People\u2019s Court with jurisdiction at the location of our registered office in Shenzhen, China, unless the parties have agreed to another dispute-resolution procedure in a separate written contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in this section removes any mandatory right or protection that cannot lawfully be excluded under the laws applicable to you.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A separate quotation, purchase order or sales contract may contain different governing-law or dispute-resolution terms. Where it does, the terms of that agreement will apply to the relevant transaction.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">16.
