These Terms of Service (“Terms”) govern your access to and use of https://apexecobuilt.com (the “Site”).

The Site is operated by Top Point Shenzhen Architectural Technology Co., Ltd., trading as APEX EcoBuilt (“APEX EcoBuilt”, “we”, “us” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, please stop using the Site.

1. Who May Use the Site

The Site is primarily intended for business users, including:

• architects;
• developers;
• contractors;
• consultants;
• project owners;
• distributors;
• importers;
• installers;
• procurement professionals;
• other construction and building-industry users.

By using the Site, you confirm that you are at least 18 years old.

Where you use the Site or submit an enquiry on behalf of a company or other organisation, you confirm that you are authorised to act on its behalf.

2. Information on the Site

Product descriptions, system information, images, renderings, drawings, dimensions, performance figures, finishes, technical documents and other materials published on the Site are provided for general reference only.

They do not constitute:

• a binding commercial offer;
• a final engineering design;
• a project-specific specification;
• a certification of compliance for a particular jurisdiction;
• a guarantee of stock or production availability;
• a product warranty;
• professional architectural or structural advice.

Actual product configuration and performance may depend on:

• project location;
• building height;
• wind and structural loads;
• local building codes;
• fire and thermal requirements;
• dimensions and tolerances;
• glass or panel selection;
• hardware and anchoring systems;
• installation conditions;
• final approved shop drawings;
• the written quotation or contract.

We may update, correct or remove Site information without prior notice.

Any quotation, proforma invoice, technical agreement, approved drawing, purchase order or signed sales contract issued for a specific transaction takes precedence over general information published on the Site.

3. Enquiries, Quotations and Contracts

Submitting an enquiry through the Site, email, telephone, WhatsApp or another communication channel does not create a contract.

A contract is formed only when the relevant commercial terms are confirmed and accepted in writing, such as through:

• an accepted quotation;
• an accepted proforma invoice;
• a signed sales contract;
• a confirmed purchase order;
• another written agreement accepted by both parties.

Unless expressly stated otherwise, quotations may be subject to:

• technical review;
• drawing approval;
• material availability;
• minimum order quantities;
• production capacity;
• shipping costs;
• exchange-rate changes;
• taxes, duties and customs charges;
• a stated validity period.

You agree that information provided in an enquiry or order is accurate and complete. You must notify us promptly if project information, quantities, specifications, contact details or delivery requirements change.

4. Technical Review and Project Responsibility

Facade systems, curtain walls, doors, windows, cladding products and modular buildings must be selected and engineered for the specific project.

You are responsible for ensuring that:

• the selected products are suitable for the intended application;
• all project information provided to us is complete and accurate;
• local architects, engineers and authorities review the proposed system where required;
• the final design complies with applicable laws, regulations and building codes;
• installation is performed by appropriately qualified personnel;
• foundations, supporting structures and site conditions are suitable;
• required inspections, approvals and permits are obtained.

Any design support, preliminary recommendation or technical information we provide must be reviewed against the project’s final conditions and approved by the responsible project professionals.

5. Acceptable Use

You agree not to:

• use the Site for an unlawful or fraudulent purpose;
• violate applicable export controls, sanctions or trade regulations;
• submit false, misleading or unauthorised information;
• impersonate another person or organisation;
• claim to be an authorised APEX EcoBuilt agent or distributor without written authorisation;
• attempt to gain unauthorised access to the Site, server or connected systems;
• upload malware, harmful code or disruptive content;
• interfere with the operation, availability or security of the Site;
• use automated tools to scrape, copy or systematically extract Site content without permission;
• use Site content to develop, promote or sell competing products;
• remove copyright, trademark or ownership notices;
• use the Site in a way that infringes another person’s rights.

We may restrict or block access where we reasonably believe the Site is being misused.

6. Intellectual Property

Unless otherwise stated, all content published on the Site is owned by or licensed to APEX EcoBuilt.

This includes:

• logos and trademarks;
• photographs;
• videos;
• renderings;
• technical drawings;
• diagrams;
• catalogues;
• BIM objects;
• CAD files;

• downloadable documents.

The content is protected by copyright, trademark and other applicable intellectual property laws.

You may view, download and print reasonable portions of Site content solely for internal evaluation, procurement, design coordination or specification of APEX EcoBuilt products.

You may not reproduce, republish, distribute, sell, sublicense, modify or use Site content in public marketing materials without our prior written permission.

7. BIM, CAD and Technical Files

Where BIM objects, CAD files, drawings or technical documents are available for download, we grant you a limited, non-exclusive, revocable and non-transferable licence to use them for:

• project evaluation;
• design development;
• specification;
• coordination involving APEX EcoBuilt products.

These materials remain the property of APEX EcoBuilt or the relevant licensor.

You must not:

• remove ownership notices;
• represent preliminary information as a final engineered design;
• resell or redistribute the files;
• use them to reproduce or develop competing products;
• rely on them without confirming current dimensions, specifications and revision status.

You are responsible for checking that the most recent approved version is used for the project.

8. Materials You Submit

You may submit drawings, specifications, schedules, photographs, BIM files, project information or other materials to help us review your enquiry.

You confirm that:

• you own the materials or have permission to share them;
• the materials do not infringe third-party rights;
• disclosure does not breach a confidentiality obligation;
• the materials do not contain unlawful or malicious content.

You grant APEX EcoBuilt a non-exclusive, royalty-free licence to use, reproduce and internally share submitted materials only as reasonably necessary to:

• respond to your enquiry;
• prepare a quotation;
• conduct technical review;
• manufacture or supply products;
• perform a resulting contract;
• provide after-sales support;
• comply with legal obligations.

We will not publish confidential project materials, customer names, testimonials or reference photographs for marketing purposes without appropriate consent or another lawful basis.

9. Third-Party Links and Content

The Site may link to or embed content from third-party websites and services, including maps, videos, social media platforms, certification organisations and messaging services.

We do not control third-party websites and are not responsible for:

• their content;
• their availability;
• their security;
• their accuracy;
• their privacy practices;
• goods or services they provide.

Accessing a third-party website is at your own risk and is subject to that provider’s terms and policies.

A link does not necessarily imply endorsement or a formal relationship.

10. Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, we do not make warranties or representations that:

This section does not affect any express product warranty contained in a signed sales contract or any legal right that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, APEX EcoBuilt and its officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, punitive or consequential losses arising from your use of the Site.

This includes loss of:

• profit;
• revenue;
• business opportunities;
• anticipated savings;
• data;
• goodwill;
• production time;
• design or engineering costs.

We are not responsible for losses caused by reliance on general Site content instead of final project-specific technical review, approved drawings or written contractual documents.

Where liability cannot be excluded, our liability will be limited to direct losses that were reasonably foreseeable and directly caused by our breach.

Nothing in these Terms excludes or limits liability for:

• fraud or fraudulent misrepresentation;
• death or personal injury caused by negligence;
• deliberate misconduct;
• any liability that cannot legally be excluded or limited.

12. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless APEX EcoBuilt, its affiliates, officers and employees from claims, losses, damages and reasonable legal costs arising from:

• your material breach of these Terms;
• your unlawful use of the Site;
• information or materials you submit;
• your infringement of third-party rights;
• your unauthorised representation of APEX EcoBuilt.

This obligation does not apply to the extent that a claim was caused by our own breach, negligence or unlawful conduct.

The Privacy Policy forms part of these Terms.

14. Changes to the Site and These Terms

We may modify, suspend or discontinue any part of the Site where reasonably necessary, including to:

• change Site functions.

We may also update these Terms.

The revised version will be published on this page with an updated date. Changes apply from the date of publication unless otherwise stated.

Your continued use of the Site after updated Terms are published constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

The parties should first attempt to resolve any dispute arising from these Terms through good-faith discussion.

If a dispute cannot be resolved through discussion, it shall be submitted to the competent People’s Court with jurisdiction at the location of our registered office in Shenzhen, China, unless the parties have agreed to another dispute-resolution procedure in a separate written contract.

Nothing in this section removes any mandatory right or protection that cannot lawfully be excluded under the laws applicable to you.

A separate quotation, purchase order or sales contract may contain different governing-law or dispute-resolution terms. Where it does, the terms of that agreement will apply to the relevant transaction.

16. General Provisions

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

No Waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent.

We may transfer our rights and obligations in connection with a merger, restructuring, acquisition or transfer of the relevant business.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement concerning general use of the Site.

They do not replace any quotation, purchase order, technical agreement, proforma invoice or sales contract entered into for a specific transaction.

Language

These Terms may be made available in more than one language. Unless mandatory law requires otherwise, the English version will prevail in the event of an inconsistency.
